  1. Introduction

These Terms and Conditions of Use and Service (“Terms”) govern access to and use of the HakkiPay website, mobile application, digital platform and services made available by Hakki Solutions Limited, trading as HakkiPay.

In these Terms:

“HakkiPay”, “we”, “us” or “our” means Hakki Solutions Limited.

“you”, “your”, “user” or “customer” means an individual, business, cooperative, association, merchant, organisation or other person that accesses or uses HakkiPay.

“Platform” means the HakkiPay website, mobile application, web application, dashboards, APIs, interfaces and other digital channels made available by HakkiPay.

“Partner Institution” means a bank, microfinance bank, payment service provider or other appropriately licensed or regulated institution through which a regulated financial service may be provided.

“Services” means the products, tools and functionality lawfully made available through HakkiPay from time to time.

By creating an account, clicking an “Accept”, “Agree” or similar button, or otherwise using a service after being presented with these Terms, you agree to be bound by them.

If you do not agree with these Terms, you should not register for or use the relevant HakkiPay service.

  1. About HakkiPay

HakkiPay is a financial technology platform operated by Hakki Solutions Limited.

HakkiPay is designed to provide technology and digital-finance tools for individuals, businesses, cooperatives, associations and communities.

Certain financial services accessible through the Platform may require a regulatory license. Where Hakki Solutions Limited does not itself hold the license required to provide such a service, the regulated component will be provided through an appropriately licensed Partner Institution.

Nothing in these Terms, on the Platform or in HakkiPay marketing materials should be interpreted as representing that Hakki Solutions Limited is a licensed bank, microfinance bank, deposit-taking institution, lender, payment service provider or other regulated financial institution unless the relevant license has actually been granted and expressly disclosed.

Where a regulated service is provided by a Partner Institution, applicable disclosures will identify or otherwise make available information about the relevant provider as required by law.

  1. Relationship Between HakkiPay and Partner Institutions

HakkiPay may provide the technology, user interface, integration, distribution, administration or support infrastructure through which customers access services provided by Partner Institutions.

Depending on the particular product, a Partner Institution may be responsible for matters such as maintaining an underlying account or wallet, receiving or safeguarding customer funds, processing or settling payments, issuing payment instruments, providing credit, accepting deposits or providing another regulated financial service.

The precise roles of HakkiPay and the relevant Partner Institution may therefore differ from one product to another.

Additional terms issued by a Partner Institution may apply to a regulated product.

Where mandatory law, regulatory requirements or valid partner-specific terms apply to a particular regulated service, those requirements will apply to that service together with these Terms.

HakkiPay will not knowingly describe a partner-provided regulated service in a way that materially misrepresents who provides that service.

  1. Eligibility

Unless a product expressly provides otherwise, you must be at least 18 years old and legally capable of entering into a binding agreement to open or independently operate a HakkiPay account.

You must also satisfy any applicable identity-verification, product, regulatory and Partner Institution requirements.

An organization using HakkiPay must be validly constituted or registered where required and must act through persons who have appropriate authority to bind or administer the organization.

HakkiPay may refuse or defer onboarding where eligibility, verification or legal requirements have not been satisfied.

 

 

  1. Registration and Customer Information

You must provide accurate, complete and current information when registering for or using HakkiPay.

Information requested may include identity, contact, business, beneficial-ownership or other information reasonably required to provide the service or comply with law.

You must promptly update information that becomes inaccurate or outdated.

You must not:

  • register using a false identity;
  • impersonate another person;
  • knowingly provide false or misleading information;
  • open or operate an account for an unlawful purpose; or
  • allow another person to misrepresent themselves as you.

HakkiPay may request further information where reasonably required for verification, security, compliance, fraud prevention or service administration.

  1. Identity Verification and KYC

Access to some or all HakkiPay services may be subject to Know Your Customer (“KYC”) and related verification procedures.

Depending on the service and applicable requirements, verification may involve information such as your name, telephone number, residential address, date of birth, National Identification Number, Bank Verification Number, identification documents, photograph, business-registration information or beneficial-ownership information.

HakkiPay or a relevant Partner Institution may also conduct sanctions, politically exposed person, fraud, financial-crime or other lawful checks.

A service may be limited, delayed or unavailable until required verification has been completed.

Submission of information does not guarantee approval for every HakkiPay or partner-provided service.

  1. Your Account and Security Responsibilities

You are responsible for taking reasonable steps to secure your HakkiPay account and devices.

You must protect your password, PIN, OTP, biometric credentials and other authentication information.

You should not knowingly disclose security credentials to another person or allow another person to use your account as if they were you.

HakkiPay personnel should not ask you to disclose your full password, PIN or OTP.

You must notify HakkiPay promptly if you reasonably suspect:

  • unauthorized access to your account;
  • compromise of your credentials;
  • loss or theft of a device used to access HakkiPay;
  • an unauthorized transaction;
  • identity theft; or any other security incident affecting your account.

HakkiPay may take reasonable protective measures, including temporarily restricting access, while a reported security incident is investigated.

  1. Services

Depending on availability, regulatory arrangements and your eligibility, HakkiPay services may include technology enabling:

  • money transfers and receipts;
  • payment and collection services;
  • bill payment;
  • airtime or data purchase;
  • merchant payments;
  • business-payment tools;
  • organization or cooperative administration;
  • member-management tools;
  • transaction records and reporting;
  • payment links or QR payments;
  • bulk-payment functionality;
  • partner-enabled account or wallet services; and
  • other services introduced from time to time.

Savings, deposit, lending, investment, insurance, pension, card, international-remittance or other regulated products will only be made available where they are legally and operationally supported through an appropriately authorized provider or through HakkiPay if Hakki Solutions Limited subsequently obtains the required authorization.

The availability of a feature in promotional materials does not itself mean that the feature is currently available to every customer.

The Platform will identify applicable product availability where appropriate.

  1. Transaction Instructions

You are responsible for checking transaction details before confirming a transaction.

This includes, where applicable, the beneficiary, account or wallet details, amount, financial institution, merchant and transaction purpose.

Once an instruction has been successfully submitted for processing, cancellation may not always be possible.

HakkiPay may rely on an instruction authenticated through the security procedures applicable to your account, subject to applicable law, fraud controls and any evidence of unauthorized activity.

A transaction confirmation does not necessarily mean that final settlement has occurred where settlement depends on another institution or payment network.

  1. Transaction Processing

Transactions may be processed through HakkiPay systems, Partner Institutions, payment networks or other authorized service providers.

Processing may be affected by:

  • system availability;
  • telecommunications networks;
  • partner availability;
  • cut-off periods;
  • regulatory checks;
  • transaction limits;
  • security controls; or
  • other legitimate operational factors.

HakkiPay may delay, decline, hold, review or refuse a transaction where reasonably necessary to comply with law, protect customers, investigate suspected fraud, enforce applicable limits or respond to a regulatory, judicial or security requirement.

Where legally permissible and appropriate, customers will be provided with relevant information concerning a restriction or failed transaction.

  1. Transaction Limits

Transaction, account or service limits may apply.

Limits may depend on factors including:

  • customer verification level;
  • type of service;
  • customer category;
  • risk assessment;
  • regulatory requirements;
  • Partner Institution requirements;
  • transaction history; or
  • security considerations.

Applicable limits will be disclosed through the Platform, relevant product documentation or another appropriate channel.

HakkiPay may modify limits where reasonably required by law, risk management, partner requirements or product design, subject to applicable notice requirements.

  1. Fees and Charges

Some HakkiPay services may attract fees or charges.

Where a fee is payable by you, HakkiPay will seek to disclose the applicable amount or basis of calculation before or in connection with the relevant transaction or service.

Charges may include HakkiPay service charges, Partner Institution charges, network charges, third-party charges, taxes or other lawful costs applicable to the service.

Fees will not be deliberately concealed or presented in a misleading manner.

The current HakkiPay Fees and Charges Schedule, where applicable, should be made available through the Platform or website.

A change that materially affects a customer’s existing service will be communicated in accordance with applicable law.

 

 

  1. Failed, Delayed or Reversed Transactions

A transaction may fail or be delayed because of circumstances such as technical failure, network interruption, insufficient funds, inaccurate details, partner outage, transaction limits, fraud checks or regulatory controls.

Where funds have been debited in connection with a failed transaction, the relevant transaction will be investigated and, where appropriate, reversed or otherwise resolved in accordance with applicable payment rules, Partner Institution procedures and law.

Customers should promptly report unresolved transactions through HakkiPay’s official support channels.

  1. Unauthorized Transactions

You should notify HakkiPay promptly when you become aware of a transaction that you believe you did not authorize.

HakkiPay will investigate or facilitate investigation of the matter, including with the relevant Partner Institution where necessary.

Responsibility for a disputed transaction will not automatically be assigned to the customer merely because the customer’s credentials were used.

The circumstances of the transaction, applicable law, security controls, customer conduct and partner or network rules will be considered.

Nothing in these Terms removes any right or remedy that a consumer cannot lawfully waive.

  1. Businesses, Cooperatives, Associations and Organizations

Organizations using HakkiPay are responsible for ensuring that persons granted administrative or transaction authority are properly authorized.

Where available, organizational functionality may include different user roles such as administrator, maker, checker, approver or viewer.

An organization must promptly update HakkiPay when an authorized person’s authority changes or ends.

HakkiPay may rely on instructions from persons recorded as authorized representatives unless and until HakkiPay receives and processes valid notice of a change.

HakkiPay does not determine or adjudicate the internal constitution, membership rights, contribution rules or governance disputes of an independent cooperative, association, company or other organization, except where HakkiPay has separately undertaken a contractual responsibility to do so.

Separate Business, Merchant, Cooperative or Community Terms may apply to specialized organizational services.

  1. Prohibited and Restricted Use

You must not use HakkiPay to facilitate or participate in unlawful activity, including fraud, money laundering, terrorist financing, identity theft, scams, cybercrime, sanctions evasion or transactions involving goods or services prohibited by applicable law.

You must not:

  • gain or attempt to gain unauthorized access to HakkiPay systems;
  • interfere with the proper operation or security of the Platform;
  • introduce malicious software;
  • exploit a vulnerability;
  • use another person’s identity or credentials without lawful authority;
  • conceal the unlawful origin or destination of funds;
  • use HakkiPay to deceive or defraud another person;
  • manipulate transactions or records; or
  • use the service in a manner that exposes HakkiPay, a Partner Institution or another user to unlawful or unreasonable risk.

HakkiPay may maintain additional risk-based restrictions applicable to particular sectors, transactions or services.

  1. Fraud Prevention, AML and Regulatory Compliance

HakkiPay may monitor accounts and transactions for security, fraud, financial-crime and compliance purposes.

Where necessary and lawful, HakkiPay may request additional information concerning a transaction, customer, beneficiary, business activity or source or destination of funds.

HakkiPay may share relevant information with Partner Institutions or competent authorities were permitted or required by law.

HakkiPay is not required to execute an instruction that would cause it or a Partner Institution to violate applicable law, a court order, sanctions obligation or lawful regulatory requirement.

 

  1. Suspension, Restriction and Account Review

HakkiPay may temporarily restrict a service or account where reasonably necessary to:

  • investigate suspected fraud or unauthorized activity;
  • protect the customer or another person;
  • complete KYC or compliance checks;
  • comply with law or a lawful order;
  • address a security incident;
  • prevent misuse of the Platform;
  • manage a material operational risk; or
  • respond to a Partner Institution’s lawful requirement.

Any restriction should be proportionate to the circumstances.

Where legally permissible, HakkiPay will seek to provide appropriate information concerning the restriction and any steps reasonably required from the customer.

  1. Closing Your HakkiPay Relationship

You may request closure of your HakkiPay account or profile, subject to applicable procedures.

Closure may require:

  • completion or cancellation of pending transactions;
  • settlement of valid outstanding obligations;
  • withdrawal or transfer of funds held through the relevant Partner Institution;
  • resolution of active disputes or restrictions where necessary; and
  • satisfaction of legal or regulatory requirements.

Closure does not require HakkiPay or its partners to delete information that must lawfully be retained.

HakkiPay may close or permanently restrict an account were permitted by law, including for serious or repeated breach of these Terms, confirmed fraud, unlawful activity or another legitimate legal, security or regulatory reason.

  1. Service Availability and Maintenance

HakkiPay aims to provide dependable digital services but does not guarantee uninterrupted operation at all times.

Services may be temporarily unavailable because of maintenance, system upgrades, telecommunications failure, power disruption, cyber incidents, Partner Institution outages, payment-network interruption or circumstances outside HakkiPay’s reasonable control.

HakkiPay will take reasonable steps to minimize disruption and restore affected services.

Planned maintenance that materially affects customers should be communicated were reasonably practicable.

  1. Third-Party Services

Some HakkiPay functionality depends on independent third parties.

This may include Partner Institutions, telecommunications operators, identity-verification providers, billers, payment processors, merchants, cloud providers or other technology providers.

A third party may impose its own legally applicable terms.

HakkiPay remains responsible for obligations that applicable law places directly on HakkiPay, but is not deemed to have assumed every independent legal obligation of a third party solely because that party’s service can be accessed through the Platform.

  1. Privacy and Personal Data

HakkiPay processes personal data in accordance with the HakkiPay Privacy Policy and applicable Nigerian data-protection law.

The Privacy Policy forms part of the overall terms governing use of HakkiPay but should be presented separately so that users can readily understand how their personal data is processed.

Where a Partner Institution independently processes personal data for a service it provides, its own privacy notice may also apply.

  1. Electronic Communications and Notices

You agree that HakkiPay may provide service-related communications electronically through appropriate channels, including:

  • in-app notifications;
  • SMS;
  • email;
  • push notifications;
  • website notices; or
  • other contact channels supplied by you.

Electronic communications may include transaction confirmations, security notices, account information, regulatory notices, changes to services or terms and customer-support communications.

You are responsible for keeping your contact information reasonably current.

Marketing communications will be governed by applicable consent and data-protection requirements and may be opted out of where required.

  1. Intellectual Property

The HakkiPay name, trademarks, logos, software, interfaces, designs, website content, documentation and other proprietary materials are owned by or licensed to Hakki Solutions Limited except where otherwise stated.

Your use of HakkiPay does not transfer ownership of intellectual property to you.

You may use the Platform only for lawful purposes permitted by these Terms.

You must not reproduce, modify, distribute, commercially exploit, reverse engineer or create unauthorized derivative works from HakkiPay proprietary materials except where expressly permitted by law or prior written consent.

  1. Information Provided Through the Platform

HakkiPay seeks to provide accurate and current information.

General information on the website or Platform is not, merely by being published, personal financial, investment, tax or legal advice.

Customers should consider applicable product terms and their individual circumstances before making financial decisions.

Where a regulated advisory service is offered in future, it will be subject to the appropriate legal and regulatory structure.

  1. Customer Support and Complaints

Customers may contact HakkiPay concerning service issues, transactions, account matters or complaints through the official support channels.

HakkiPay will maintain a process for receiving, tracking, investigating and resolving complaints.

Where a complaint relates principally to a service provided by a Partner Institution, HakkiPay may refer or jointly escalate the matter to that institution.

Customers will not lose any statutory right to escalate a matter to an applicable regulator or competent consumer-protection authority.

The CBN’s consumer-protection framework requires regulated financial institutions to provide fair, transparent and timely complaint-redress mechanisms. The Federal Competition and Consumer Protection Act 2018 also provides Nigeria’s broader statutory consumer-protection framework.

  1. Fair Treatment of Customers

HakkiPay is committed to clear communication and responsible customer treatment.

We will seek to ensure that information concerning our services is not deliberately false, deceptive or materially misleading and that material fees, restrictions and product conditions are appropriately disclosed.

Nothing in these Terms is intended to waive, exclude or restrict a consumer right that cannot lawfully be waived or excluded.

  1. Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not seek to exclude responsibility for fraud, willful misconduct or another liability that cannot lawfully be excluded.

Subject to applicable law, HakkiPay will not be liable for loss caused solely by:

  • inaccurate information supplied by the customer;
  • a customer’s fraudulent or unlawful conduct;
  • a customer’s deliberate disclosure of security credentials contrary to applicable security instructions;
  • failure of an independent service or telecommunications network outside HakkiPay’s reasonable control, where HakkiPay has exercised reasonable care;
  • compliance with a lawful court, regulatory or governmental order; or
  • an extraordinary event outside HakkiPay’s reasonable control.

This provision does not remove HakkiPay’s responsibility for its own obligations under applicable law or a valid contract.

HakkiPay will not rely on this clause to avoid fairly investigating a disputed transaction or customer complaint.

  1. Force Majeure

A party will not be treated as having breached these Terms solely because performance is prevented or materially delayed by an event genuinely beyond its reasonable control, to the extent permitted by law.

Such events may include major telecommunications failure, natural disaster, civil disturbance, widespread infrastructure failure, government action or comparable extraordinary circumstances.

This provision does not excuse obligations that applicable law requires to continue notwithstanding such an event.

  1. Changes to HakkiPay Services

HakkiPay may improve, replace, modify, suspend or discontinue a feature or service.

Where a change materially affects an existing customer’s contractual rights, obligations, charges or access, HakkiPay will provide notice appropriate to the nature of the change and applicable law.

A regulated Partner Institution may separately make changes to the product it provides in accordance with its applicable terms and regulatory obligations.

  1. Changes to These Terms

HakkiPay may update these Terms to reflect changes in:

  • law or regulation;
  • Partner Institution arrangements;
  • products or services;
  • technology or security;
  • business operations; or
  • customer-protection requirements.

The updated Terms will state their effective date.

Material changes affecting existing customers will be communicated through an appropriate channel where required.

Where applicable law requires affirmative consent to a change, HakkiPay will obtain that consent before the relevant change takes effect.

Continued use alone will not be treated as a substitute for affirmative consent where the law requires something more.

  1. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Mandatory consumer-protection, data-protection and financial-services rights applicable to a customer remain unaffected.

  1. Dispute Resolution

A customer should ordinarily raise a complaint with HakkiPay first so that the matter can be investigated and, where possible, resolved promptly.

Where the dispute relates to a Partner Institution’s regulated service, the customer may also be directed to or assisted in using that institution’s complaint procedure.

Where applicable, customers retain the right to approach the relevant regulator, consumer-protection authority or other competent body.

If a dispute cannot be resolved through the applicable complaint or amicable-resolution process, either party may pursue a remedy before a court of competent jurisdiction in Nigeria or use another dispute-resolution procedure lawfully agreed for the relevant service.

Nothing in these Terms requires an individual consumer to surrender a statutory right of redress.

Separate commercial agreements with businesses, merchants, partners, cooperatives or other organizations may contain mediation or arbitration provisions appropriate to those relationships.

  1. Severability

If a provision of these Terms is held invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where legally permissible.

The remaining provisions will continue in effect.

  1. No Waiver

A delay or failure by HakkiPay to exercise a contractual right does not automatically waive that right.

Any waiver must comply with applicable law and applies only to the circumstance for which it is given.

  1. Transfer of Rights

You may not transfer your HakkiPay account or impersonally assign personal account rights to another individual.

HakkiPay may transfer contractual rights or obligations as part of a lawful corporate restructuring, merger, acquisition or transfer of business, subject to applicable law and any notice or consent requirements.

Such transfer does not remove applicable consumer or data-protection rights.

  1. Entire Agreement

For the relevant service, these Terms should be read together with applicable:

Privacy Policy; product-specific terms; Fees and Charges Schedule; Partner Institution terms; transaction-limit disclosures; complaints policy; refund and reversal policy; and other documents expressly incorporated into the customer relationship.

Where a specialized service has separate terms, those specialized terms will govern that service to the extent of any properly disclosed inconsistency.

  1. Acceptance

By registering for HakkiPay and expressly accepting these Terms through the relevant electronic acceptance process, you confirm that:

you have had an opportunity to read these Terms; you understand that certain regulated services may be provided by Partner Institutions; the information you provide will be processed in accordance with the HakkiPay Privacy Policy and applicable law; and you agree to comply with these Terms.
